Basic Function

HF Sinclair is seeking a Senior Counsel. As a member of the Corporate Governance & Transactions team, the Senior Counsel will support and provide guidance on a broad range of legal issues and matters relating to corporate governance, corporation transactions, including acquisitions, dispositions, capital markets transactions, financing transactions, and joint ventures, securities law compliance and treasury functions.

Job Duties

While duties and responsibilities will vary based on the candidate’s respective experience and skills, the Senior Counsel will support the Assistant General Counsel in the following activities:

  • Supporting corporation transactions, including coordinating legal due diligence for possible acquisitions, dispositions and joint ventures, drafting and negotiating transaction documentation, and supporting related transition and post-transaction integration matters
  • Preparing and reviewing SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, Section 16 filings and various other filings, of HF Sinclair Corporation (NYSE: DINO) and Holly Energy Partners, L.P. (NYSE: HEP)
  • Supporting treasury initiatives, including credit agreements, indentures, equity and debt offerings
  • Supporting corporate governance activities, including preparing agendas, resolutions, presentation materials and minutes for the HF Sinclair, Holly Energy Partners boards and domestic and international subsidiaries as needed
  • Supporting executive compensation matters and short-term and long-term incentive plans
  • Serving as a trusted business partner and working closely with various business stakeholders, including accounting, business development, tax and treasury, to advise on legal implications of business activities
  • Reviewing, negotiating and drafting contracts, including commercial contracts and refinery contracts, from time to time
  • Planning and developing solutions to existing or potential legal problems involving the companies, and advising management concerning legal rights and obligations
  • Interfacing with, and managing, outside counsel on various matters
  • Participating in continuing legal education programs and other activities as necessary to keep informed of developments in the law, new and proposed statutes and regulations, economic and social issues and other matters of interest to the Company and the energy industry
  • Completing special assignments or tasks assigned to the employee by their supervisor, as determined from time to time in their sole and complete discretion.

Experience

Seven to ten years of corporate, securities law and/or M&A transactional experience is required. Previous experience working as legal counsel at a top tier law firm is required.


PREFERRED EXPERIENCE:

Previous experience also working as legal counsel at a large public corporation is strongly preferred.

Education Level

A minimum of a Jurisprudence Doctorate Degree from an American Bar Association accredited law school is required.

Licensed and in good standing with a state bar (admission to the State Bar of Texas, or eligibility to waive into the State Bar of Texas, is strongly preferred). Ability to effectively communicate with others at all levels of the organization and outside counsel, both written and verbal communication.

Supervisory/Managerial Responsibility

Must be able to supervise and lead work of paralegals and outside counsel effectively.

Work Conditions

Office based with travel up to 20% by land and air required. Subject to all weather and varying road conditions.

Petroleum refinery and out-of-doors environment including but not limited to chemicals, pressure vessels, tanks, and rotating equipment.

Physical Requirements

Job conditions require standing, walking, sitting, talking or hearing, making visual inspections, making precise hand and finger movements, lifting or carrying up to 25 lbs., pushing or pulling up to 25 lbs., perceiving color differences, required to wear personal protective equipment as needed (beards are not permitted). Job conditions may require twisting, stooping, crouching, kneeling, reaching or grasping, and working in confined spaces as permitted.
