Job Summary

Acuity Brands, Inc. (NYSE: AYI), a market-leading industrial technology company, is seeking a Legal Governance Manager to fill a newly created role reporting to the Vice President, Corporate Secretary. This person will develop and manage processes for SEC, NYSE, Board of Directors, and corporate governance compliance requirements.

Key Tasks & Responsibilities

SEC and NYSE Reporting: Responsible for developing, maintaining, and executing detailed internal legal procedures to meet regulatory disclosure requirements, including items such as the proxy statement, Section 16 reporting (Forms 3, 4 and 5), legal documentation relating to Annual Reports on Form 10-K and Quarterly Reports on Form 10-Q, and NYSE affirmations and other reporting. Coordinates with in-house counsel on compliance and legal matters. Manages vendors and related software platforms. 30%


Board of Directors Operations: Manages meeting planning, preparation and processes, including drafting certain documents such as agendas and minutes, coordinating surveys, questionnaires and evaluations, and preparing the distribution of materials using a third-party platform. 30%


Annual Meeting of Stockholders: Manages the Annual Meeting process and stockholder relations, including preparing an agenda, script, minutes, ballots and related meeting documentation. Coordinates proxy statement mailing and voting process with the transfer agent and other outside vendors. Manages third-party platforms for Director and Officer questionnaires. 20%


Other Corporate Governance Activities: Responsible for maintaining corporate records in accordance with applicable document retention policies and public company requirements. Supports administration of insider trading compliance. Responsible for developing, maintaining, and executing detailed legal procedures relating to subsidiary management and record keeping. 20%

Experience

  • Bachelor’s Degree or Equivalent
  • Substantial experience with NYSE registrants, proxy statement preparation, and Section 16 filings is preferred.
  • Willingness to identify, embrace, and advocate for meaningful changes in practices and procedures.
  • Ability to operationalize complex projects and successfully manage regulatory disclosure compliance.
  • MS Office Suite (Word, Excel, PowerPoint) experience is required; third-party board portal platform experience is preferred.
  • Strong interpersonal, analytical, problem-solving, organizational, and communication skills, with the ability to communicate effectively at all levels.
  • Paralegal experience preferred.
  • Prior experience in Corporate Law is preferred.

Physical Requirements

Sedentary Work – Exerting up to 10 pounds of force occasionally, and/or a negligible amount of force frequently or constantly to lift, carry, push, pull or otherwise move objects. Sedentary work involves sitting most of the time. Jobs are sedentary if walking or standing is required only occasionally, and all other sedentary criteria are met.
