Lucas Group, a Korn Ferry company, has partnered with an international manufacturer and supplier of self-storage, commercial and industrial building solutions in a search for a highly organized and detail-oriented Corporate Paralegal to support its Legal Department. This is a remote opportunity. Unlike most public companies, this role is informal and offers true work/life balance.

This position will handle public reporting, governance, subsidiary management, and finance matters. This is a wonderful opportunity to be involved in critical, complex work with a dynamic team at a growing business. This position reports to the General Counsel. MUST have public company experience and corporate governance, board meeting, and entity maintenance experience. Primary Responsibilities:

-Working with the GC to create and organize Board and Committee presentations, agendas, minutes, and related documentation; maintain corporate records

-Prepare documents for the formation, maintenance, and elimination of legal entities, including certificates of incorporation, bylaws, operating agreements, board and shareholder resolutions, director and officer changes, merger and dissolution certificates, powers of attorney, and qualifications to do business

-Maintain corporate records, including documentation and databases

-Research state-specific filing requirements and in coordination with the registered agent, file required annual reports for each subsidiary

-Assist with the preparation and filing of SEC periodic reports such as Forms 10-K, 10-Q, and 8-K as well as other SEC reports

-Working with the GC, prepare, process, and manage Section 16 filings

-Assist in the preparation and filing of documents with the NYSE

-As needed, assist with corporate finance matters, including debt offerings, borrowings under credit facilities, and intercompany restructurings

Minimum Requirements:

-Prior work experience at a public, corporate in-house legal department or a law firm

-Experience managing domestic and foreign subsidiary activities, corporate records, and public company disclosures

-Stellar organizational skills, attention to detail

-High degree of self-direction and motivation with good teamwork and interpersonal skills

-Ability to communicate and collaborate with cross functional departments and internal and external stakeholders

-Be results-driven and ability to think creatively and prioritize workflow in a fast-paced environment

-SEC and Section 16 filing experiences are bonuses but not required

-Board, corporate governance, minutes, and entity filing experience

-Proficient computer software skills in Microsoft Word, PowerPoint, Excel, and Outlook; computer software (Workiva, etc.) to make SEC filings via EDGAR; knowledge of online entity management systems (e.g., Diligent Entities, Blueprint, etc.); DocuSign
