Title: Attorney

Location: Richfield, MN 55423 – Hybrid Role (3 days on site and 2 days remote)

Contract Length: Till May 15, 2023

Responsibilities:

• This position is responsible for the vendor contracting process including contract negotiating, drafting, review and risk analysis of contract terms and conditions.
• This position has an advanced understanding of applicable laws, regulations, financial services and regulatory trends.
• Position ensures vendor contracts are in compliance with applicable state and federal law, rules and regulations and policies.
• The position supports Business Line and Corporate Procurement assigned initiatives by drafting and negotiating the contract terms and conditions as well as advising business lines on risk analysis and mitigations related to the contract. Job scope and complexity of assignments are broad and very complex.
• The position requires the ability to improvise and respond to contractual language questions, provide creative solutions to resolve conflict with vendors, effectively balance working on multiple projects at one time while successfully meeting tight deadlines.

Job Responsibilities:

• Draft, analyze, revise and negotiate a variety of contractual instruments involving interests or the interests of customers.
• Use standard contract templates as a starting point and negotiate legal terms and conditions contained in vendor agreements.
• Draft original documents as needed.
• Analyze and revise vendor documents to meet regulatory requirements, provide cost savings and mitigate risk..
• Acquisition Support – Support integration team meetings, by communicating with integration leaders from other business lines. Analyze and evaluate vendor agreements to determine termination rights and penalties if applicable.
• Assist business lines to formulate strategy for proper disposition of acquired entities’ vendor relationships.
• Draft, negotiate and finalize vendor terminations, assumptions, amendments or other necessary disposition for vendors affected by the acquisition.
