Job Description

The Business Development IT Director is responsible for designing, fostering, and maintaining an effective IT approach to Mergers & Acquisitions (M&A), enabling the delivery of successful due diligences and integrations. In coordination with other IT M&A resources, they may also lead the IT aspects of M&A projects. This includes leading cross-functional due diligence for the IT organization and engaging with both internal and external stakeholders to manage ongoing alignment of current deals and preparation for potential opportunities.

Job Duties

  • M&A Organizational Development .


  • Accountable for development and maintaining the IT M&A readiness plan agreed to by Business Division/ IT executive leadership that is in line with the overall IT functional strategy and transformation roadmap.


  • Drive initial implementation of the agreed IT M&A readiness plan.


  • Assess current capabilities, systems, policies, processes, organizational structure, and resources for conducting IT due diligence, integration strategy/planning activities, and integration execution against best practices.


  • M&A Transaction Activities ·
  • Coordinate with the M&A Lead on project resource assignments based on deal cadence, scale and other factors.
  • Provide leadership, coordination, development and oversight of project management disciplines, processes, and functions across IT teams for all IT aspects of merger and acquisition transactions.
  • Lead IT due diligence activities together with the M&A core team and compile IT due diligence integration plans.
  • Gather information regarding IT/systems/infrastructure/information security risks for future and ongoing mergers/acquisitions and provide readiness assessment and insights on the valuation and structural impact of the merger/acquisition.
  • Lead the development of IT integration plans that contribute to realizing synergies from the merger/ acquisition.
  • Provide strategic advice to business leadership on potential opportunities. Project Management.
  • Align with internal and external business and IT leadership on all IT aspects and requirements to ensure smooth integration within scope and to budget.
  • Track and provide project status on integration (through reports and presentations), manage the risks, issue, and change resolution process, and work with business and IT leadership to take corrective action as needed.
  • Proactively identify and manage key risks and challenges and their associated mitigation plans related to the transaction. Other responsibilities / duties as assigned.

Job Requirements

REQUIRED QUALIFICATIONS:

  • Bachelor's or a Master's degree in Computer Science, Business Administration, Economics or similar field (or equivalent and related experience preferred).


  • Minimum 12 years of experience in IT.


  • Minimum 7 years' experience managing IT aspects of a merger or acquisition lifecycle (from Due Diligence to PMI), ideally in a global Healthcare or Life Science company.


PREFFERED QUALIFICATIONS:

  • Proven experience in negotiating transactions in a complex, multi-site, global business with a divisional structure, ideally within medical services.


  • Experience in interacting with and reporting to a variety of audiences, especially senior executives.


  • Demonstrable technical communication, strategic thinking.
